Brandul, reputatia, relatiile cu clientii, cultura si know-how-ul devin active cheie. In multe companii antreprenoriale din Romania, discutiile de board se opresc la bilant, cash-flow si investitii tangibile. Marci inregistrate, brevete, design-uri, metodologii, software, know-how documentat. In industrii B2B si manufacturing, acest pachet poate avea pondere mare in evaluare.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Relatiile cu clientii si partenerii. Contracte recurente, durata relatiilor, stabilitatea portofoliului, baza de clienti strategici. Modul in care se iau decizii, cum se comunica intern, cata energie are organizatia. Daca valoarea reala este in mare parte intangibila, ignorarea brandului si a celorlalte active intangibile devine un risc strategic.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Din perspectiva riscului, un brand slab sau nedocumentat inseamna dependenta mare de fondator, vulnerabilitate la crize de reputatie si sensibilitate la presiunea pe pret. Din perspectiva cresterii, un brand clar deschide piete noi, sustine game premium si atrage parteneri mai buni. Din perspectiva valorii, activele intangibile bine gestionate explica de ce doua companii cu cifre similare primesc multipli diferiti la evaluare.<\/p>\n<h2 id=\"cum-arata-guvernanta-brandului-la-nivel-de-consili\" class=\"font-editorial font-bold mb-2 mt-4 [.has-inline-images_&amp;]:clear-end text-lg first:mt-0 md:text-lg [hr+&amp;]:mt-4\">Cum arata guvernanta brandului la nivel de consiliu<\/h2>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Guvernanta brandului inseamna mecanisme clare prin care boardul vede, masoara, discuta si influenteaza activele intangibile. Ma uit la cateva elemente simple, dar rare in companiile antreprenoriale.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Exista responsabil dedicat pe zona de brand si active intangibile in board. Poate fi un membru independent sau un comitet care include expertiza de brand, marketing si customer.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Exista indicatori de brand si de alte active intangibile in dashboardul de board. Pe langa cifrele financiare, consiliul urmareste indicatori de notorietate, considerare, loialitate, engagement intern, reputatie si risc de brand.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Proiectele mari care ating brandul ajung in board cu logica de investitie. Rebranding, repositionare, extindere de portofoliu, intrare pe noi piete \u2013 toate vin cu ipoteze, scenarii si criterii de succes, nu doar cu machete grafice.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Boardul cere managementului o vedere periodica asupra activelor intangibile. Cat sta in mine, ca fondator, si cat sta in brand, procese, relatii si echipa?<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Daca as vinde maine, pot demonstra cum contribuie brandul si celelalte active intangibile la marja si la crestere? Sau raman la nivelul de \u201esimt ca ajuta\u201d, fara dovada?<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Daca ma retrag maine din operatiuni, ce ramane in companie? Brandul este ancorat in fondator sau in organizatie?<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Pentru owner, brand governance in board inseamna siguranta ca lasa in urma un activ intangibil transferabil, nu doar un business legat de o persoana.<\/p>\n<h2 id=\"ce-vede-cfo-ul--structurat\" class=\"font-editorial font-bold mb-2 mt-4 [.has-inline-images_&amp;]:clear-end text-lg first:mt-0 md:text-lg [hr+&amp;]:mt-4\">Ce vede CFO-ul \u2013 structurat<\/h2>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">CFO-ul se uita la costuri, risc si multipli. CFO-ul are nevoie de o harta clara a activelor intangibile: marci, proprietate intelectuala, relatii cu clientii, cultura, reputatie, software, date. Aceasta harta sta la baza discutiilor cu auditorii, evaluatorii si banca.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Masurare. La fiecare categorie, CFO-ul poate agrea cu boardul un set minim de indicatori. De exemplu: brand equity si share of preference pentru brand, durata si marja pe clienti cheie, rata de retentie si scor de engagement pentru cultura. Indicatorii intra in dashboardul periodic al boardului.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Capitalizare. In functie de standardele contabile si de planurile de tranzactie, CFO-ul decide ce intra in bilant si ce ramane in zona de analiza interna. Discutia cu evaluatorii si cu consultantii de brand ajuta la traducerea activelor intangibile in scenarii de fluxuri de numerar si multipli.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Risc. CFO-ul poate construi o matrice de risc pentru activele intangibile: dependenta de fondator, concentrarea pe cativa clienti mari, expunerea la crize de reputatie, riscul de pierdere a oamenilor cheie. Pe baza ei, propune masuri de mitigare: documentare, diversificare, programe de retentie, asigurari, planuri de continuitate.<\/p>\n<p class=\"my-2 [&amp;+p]:mt-4 [&amp;_strong:has(+br)]:inline-block [&amp;_strong:has(+br)]:pb-2\">Pentru CFO, brand governance inseamna ca \u201ezona soft\u201d se transforma intr-un registru clar de active, indicatori si riscuri. Intreaba direct: avem infrastructura, procesele si oamenii necesari pentru promisiunea pe care o facem clientilor?
